1. License grant

Subject to these terms and your subscription tier, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to install and use the FrameFinder desktop application ("Software") on devices you own or control, solely for indexing and searching your own media content. All rights not expressly granted are reserved by the Licensor.

2. Restrictions

You may not:

  1. Copy, modify, translate, or create derivative works of the Software, except as expressly permitted by law or by the licenses of bundled third-party components (see §6).
  2. Reverse engineer or decompile the Software, except to the extent such restriction is prohibited by applicable law or required to exercise rights under applicable open-source licenses (e.g., LGPL components — see §6).
  3. Rent, lease, lend, sell, redistribute, or sublicense the Software or your license key.
  4. Remove or alter proprietary notices, license texts, or trademarks in the Software or its bundled components. (This restriction also protects our obligations to our own licensors — e.g., Blackmagic RAW SDK §4.3.)
  5. Circumvent license enforcement, tier limits, or technical protection measures.
  6. Use the Software to process media you have no lawful right to process (see Terms of Service §4 — incorporated by reference).

3. Bundled third-party components

The Software incorporates third-party components listed in the Third-Party Notices file shipped with the application, including (non-exhaustive): FFmpeg (LGPL), libvips (LGPL), libjpeg/libjxl/libbrotli (permissive), Adobe DNG SDK, and the Blackmagic RAW API Libraries (object code, sublicensed to you under §1.1(d) of the Blackmagic RAW Developer License Agreement solely as incorporated in this Software). Those components are governed by their own licenses; in case of conflict, the component's license controls for that component.

4. AI features and biometric consent

Face indexing is optional and off by default. Enabling cloud-assisted face features requires your separate, explicit opt-in on the cloud-processing consent screen (see Privacy Policy §3) — only then do derived face embeddings, assigned person names, and face-bearing keyframe images travel to our servers. Disabling it stops all biometric transmission; previously computed local embeddings are deleted when you remove the corresponding person profile or wipe the index.

5. Updates

The Software checks for updates automatically. Updates are normally downloaded and installed with your action — you are notified and choose when to install. However, a release manifest may flag an update as mandatory (forceUpdate); mandatory updates are downloaded automatically and installed when you quit the application. We may modify or discontinue features with reasonable notice where practicable.

6. Open-source obligations

The Software contains components under licenses requiring source availability (LGPL). Corresponding source code for LGPL components is available at https://releases.frame-finder.app/ffmpeg/. Nothing in this EULA restricts your rights under those licenses.

7. Disclaimer & liability

The disclaimers and liability caps in Terms of Service §§11–12 apply to the Software equally. THE SOFTWARE IS PROVIDED "AS IS".

8. Export control

You may not use, export, or re-export the Software in violation of US export laws, sanctions programs, or applicable local law (including to embargoed destinations or denied parties).

9. Termination

This license terminates automatically if you breach it. On termination you must cease using the Software and delete all copies. Sections 2, 3, 6–10 survive.

10. Platform notes

The Software is distributed by direct download (DMG/EXE). If we later distribute via Apple App Store or Microsoft Store, the applicable platform's EULA pass-through and third-party-beneficiary terms will apply and be appended here. [Revisit on store distribution.]

Draft for counsel review. Open items: store clauses (§10).
