1. Agreement

By creating an account, purchasing a subscription, or clicking "I agree" during onboarding, you enter into these Terms with Cine Pro for Artistic Production S.A.E. ("we", "us"). If you do not agree, do not use FrameFinder. These Terms incorporate the Privacy Policy and, where the desktop application is involved, the End User License Agreement (EULA).

2. The service

FrameFinder is a desktop application that indexes and searches video files stored on your own drives using on-device AI (visual embeddings and face recognition), plus account and subscription services operated through our servers and dashboard.

3. Accounts & eligibility

  • You must be at least 18 years old and capable of forming a binding contract.
  • You are responsible for your credentials and all activity under your account. Notify us promptly of unauthorized use at [email protected].
  • One account per natural person; no shared or resold accounts without a written business agreement.

4. Your content — and your responsibility for it

You retain all rights in your media. FrameFinder indexes your files locally; we claim no ownership of your videos, frames, or any data derived from them.

You represent and warrant that:

  1. You own or have a lawful right to possess and process the video files you index.
  2. You have a lawful basis to process any personal data of third parties appearing in your media, including faces — whether family members, guests, employees, or performers. Laws on face recognition vary by jurisdiction (e.g., Illinois BIPA, EU GDPR); where consent is required, obtaining it is your responsibility, not ours.
  3. You will not use FrameFinder to identify, surveil, stalk, or harass any person; to build a face database of third parties for sale or disclosure; or for any unlawful monitoring purpose.
  4. You will not upload, index, or distribute content that is unlawful, defamatory, infringing, or exploitative.

We may suspend accounts used in violation of this section. [Counsel to review §4 phrasing against intermediary-liability safe harbors.]

5. Acceptable use

You will not: reverse engineer the service except as permitted by law; probe or disrupt security controls; scrape the celebrity gallery or service APIs at abusive rates; resell access; use the service to develop a competing product; or misrepresent AI outputs as human-verified facts.

6. Subscriptions & billing

  • Tiers: Free / $29 / $99 per month — see current pricing on our site.
  • Auto-renewal: paid plans renew automatically until cancelled. We will disclose renewal terms clearly before purchase, send a receipt after each charge, and make cancellation as easy as signup (Settings → Billing or [URL]). Cancellation takes effect at the end of the current period; we do not provide prorated refunds except where required by law. (ROSCA / FTC negative-option rule 2024 compliance — counsel to confirm final wording)
  • Trials, if offered, convert to paid unless cancelled before trial end — disclosed at signup.
  • Price changes take effect on renewal with 30 days' notice.
  • Payments are processed by Stripe; card data never touches our servers.

7. Intellectual property

FrameFinder (software, design, AI pipelines, brand) is owned by Cine Pro for Artistic Production S.A.E. and its licensors. Third-party components are licensed as listed in the Third-Party Notices shipped with the app. Celebrity name/likeness data remains the property of its respective owners; reference images are used under open licenses with attribution.

8. AI output disclaimer

Face matches, scene labels, and search results are probabilistic outputs — they can be wrong, especially with low-quality footage, unusual angles, or lookalike individuals. Do not rely on results as sole evidence for consequential decisions (legal, employment, safety). [Consider a visible in-product disclaimer on match results.]

9. Termination

You may delete your account at any time (Settings → Account → Delete). We may suspend or terminate for breach, fraud, or unlawful use. On termination: server-side data is deleted per the Privacy Policy schedule; local data on your device remains under your control. Sections 4, 7, 8, 11–14 survive.

10. Changes to these Terms

Material changes will be notified 30 days in advance via email and in-app notice, and will require re-acceptance (see consent-flow spec). Continued use after the effective date constitutes acceptance of non-material changes.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS". TO THE MAXIMUM EXTENT PERMITTED BY LAW WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS/DATA; (b) OUR AGGREGATE LIABILITY IS CAPPED AT THE GREATER OF THE AMOUNTS YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR US$100. Some jurisdictions disallow certain limits; they apply only to the extent permitted.

13. Governing law & disputes

  • Governing law: these Terms are governed by the laws of the Arab Republic of Egypt, without regard to conflict-of-laws rules.
  • Disputes: informal resolution first (30 days via [email protected]), then the exclusive jurisdiction of the courts of Giza, Egypt. No arbitration; no class-action waiver. [Counsel flag: exclusive venue in the Giza courts is an unusual choice for a consumer-facing SaaS — mandatory consumer-protection venues in the EU/UK and other jurisdictions may override it; counsel to review enforceability before publication.]

14. General

Entire agreement; severability; no waiver by delay; assignment (we may assign to an affiliate or acquirer, you may not assign); force majeure; notices to [email protected].

Draft for counsel review. Open decisions: refund policy specifics, 18+ age-gate implementation, Giza exclusive-venue enforceability for consumers (§13), pricing/cancellation URLs.
